I would assume that would lessen his tax bill (compared to a total buyout) rather than raise it. everyone else in this thread has no idea what they are talking about. he actually would have paid no taxes on the stock part of the deal until he sells newly converted Disney shares. I hadn’t thought of that, but you’re right. In that case, did he get shares outright, or was he given options (NSOs, I assume). Given that he also received $2B in cash (which would be cap gains, so $1.6B after taxes), I guess he would have just paid the tax bill. So, that’s the fair market value of 37M shares, which someone else said was $2B, so that’s about 40%, or $800M. So, after doing the deal, between the cap gains and the ordinary income, that would have been $1.2B in taxes, out of a $2B payout. But now he has $800M in the bank, and owns 37M shares of Disney. Wow. That’s common. I receive stocks as compensation every quarter and each time it will automatically deduct ~50%. Say the company gives me 100 shares and I only receive 50 shares in my account.
